Terms of Service

Please read these terms carefully before using Circadia.

Acceptance of Terms

By accessing or using Circadia (“the Service”), provided by Swan Media Co. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Swan Media Co. regarding your use of Circadia on all platforms, including iOS, watchOS, iPadOS, and web applications.

By creating an account or using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

Service Description

Circadia is a privacy-first wellness tracking application designed for individuals managing bipolar disorder. The Service provides:

  • Mood Tracking: Log daily mood states, energy levels, and symptoms
  • Sleep Monitoring: Track sleep patterns and their correlation with mood cycles
  • Medication Management: Set reminders and track medication adherence
  • Pattern Analysis: Visualize trends and identify potential warning signs
  • Journal: Record thoughts, experiences, and reflections
  • Data Export: Generate reports to share with healthcare providers

The Service uses zero-knowledge encryption, meaning your health data is encrypted on your device before transmission, and we cannot access the contents of your data.

User Accounts

Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Promptly update your account information if it changes
  • Accept responsibility for all activities under your account

Account Security

We implement passkey authentication and optional biometric security. You are responsible for safeguarding your recovery phrase and any authentication methods you configure. Notify us immediately at security@circadia-app.dev if you suspect unauthorized access.

Important: Recovery Phrase

Due to our zero-knowledge architecture, if you lose your recovery phrase and all authenticated devices, we cannot recover your encrypted data. Store your recovery phrase securely.

User Responsibilities

As a user of Circadia, you agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms
  • Maintain the confidentiality of your account and authentication credentials
  • Ensure any information you provide is accurate and truthful
  • Continue working with qualified healthcare providers for medical care
  • Report any security vulnerabilities or issues you discover

Acceptable Use Policy

You agree NOT to:

  • Attempt to circumvent, disable, or interfere with security features
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Reverse engineer, decompile, or attempt to extract source code
  • Transmit malware, viruses, or any malicious code
  • Create multiple accounts to evade restrictions or bans
  • Use the Service to harass, abuse, or harm others
  • Impersonate another person or misrepresent your affiliation
  • Use the Service for any commercial purpose without our written consent

Violation of this policy may result in immediate termination of your account.

Important Health Disclaimer

Circadia is NOT a Medical Device

Circadia is a wellness tracking tool, not a medical device, diagnostic tool, or treatment. The Service is designed to help you track and understand your patterns, not to diagnose, treat, cure, or prevent any disease or health condition.

You acknowledge and agree that:

  • The Service does not provide medical advice, diagnosis, or treatment
  • You should not rely solely on the Service to make decisions about your health
  • Always consult qualified healthcare providers for medical advice
  • Never disregard or delay seeking professional medical advice
  • Pattern predictions and insights are informational only, with inherent uncertainty
  • Medication reminders do not replace your healthcare provider's instructions

In a mental health emergency, call 988 (Suicide & Crisis Lifeline) or your local emergency services immediately.

Intellectual Property

Our Property

The Service, including its original content, features, functionality, and design, is owned by Swan Media Co. and protected by copyright, trademark, and other intellectual property laws. This includes:

  • The Circadia name, logo, and branding
  • Software code, algorithms, and technical implementations
  • User interface designs and visual elements
  • Documentation and educational content

Your Content

You retain full ownership of all data you create within the Service, including mood entries, journal entries, and any other personal content. Due to our zero-knowledge encryption, we cannot access or use your encrypted data for any purpose.

We do not claim any intellectual property rights over the content you store in Circadia.

Subscriptions & Payments

Subscription Plans

Circadia offers Free, Premium, and Premium+ subscription tiers. Features and pricing are described on our pricing page. We reserve the right to modify pricing with 30 days' notice.

Billing

  • Paid subscriptions are billed in advance on a monthly or annual basis
  • Subscriptions auto-renew unless cancelled before the renewal date
  • Apple App Store or Google Play handles billing for mobile app subscriptions
  • Web subscriptions are processed through Stripe

Cancellations & Refunds

You may cancel your subscription at any time. Upon cancellation:

  • You retain access to paid features until the end of your billing period
  • Your account reverts to the Free tier (no data is lost)
  • Refunds follow platform policies (Apple, Google, or Stripe)

Termination

By You

You may terminate your account at any time through the app settings or by contacting us. Upon termination, you may request export of your data (which only you can decrypt) before deletion.

By Us

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent or illegal activity
  • Fail to pay subscription fees when due
  • Pose a security risk to the Service or other users

We will provide reasonable notice when possible, except in cases of immediate security concerns.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. Due to our zero-knowledge architecture, we cannot access your encrypted data. If you wish to preserve your data, export it before terminating your account.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy or reliability of any information
  • Warranties that the Service will meet your specific requirements

You use the Service at your own risk. We do not warrant that the results obtained from using the Service will be accurate, reliable, or meet your expectations.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWAN MEDIA CO. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to your account
  • Damages arising from your reliance on the Service for health decisions

Our total liability for any claims arising from or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Disputes & Governing Law

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution

Before initiating any legal action, you agree to contact us at legal@circadia-app.dev to attempt informal resolution. We will work in good faith to resolve any disputes within 60 days.

If informal resolution fails, you agree that any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, collective action, or representative action.

Changes to Terms

We may modify these Terms at any time. When we make material changes:

  • We will update the “Last updated” date at the top of this page
  • We will notify you via email or in-app notification at least 30 days before changes take effect
  • You may terminate your account if you disagree with the changes

Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
